Once your business is fully registered and adequately licensed, you will be required to submit periodical returns and associated payments to the relevant government departments and statutory bodies to remain compliant. This includes the following:

 

The Registrar of Companies

You are required to submit statutory returns to the registrar of companies providing the following information therein:

 

  • The particulars of the directors of the company at the date of the return;
  • The particulars of the company secretary at the date of the return;
  • The company’s registered office;
  • The company’s share structure including nominal and issued share capital.

 

The first annual return is due within 18 months after registration, with subsequent returns submitted every 15 months thereafter.

Quarterly Progress Reports

You are required to submit quarterly progress reports detailing the project’s advancement, this covering key areas including:

 

  • Monetary investment in the quarter under review;
  • Monetary investment to date of return;
  • Equipment brought in from abroad in the quarter under review;
  • Equipment brought in from abroad to date of return;
  • Employment created in the quarter under review;
  • Employment created to date of return;
  • Production output in the quarter under review;
  • Production output to date of return;
  • Revenues generated in the quarter under review;
  • Revenues generated to date;
  • Exports in the quarter under review;
  • Exports to date;

 

These reports will also be required from the Department of Immigration when applying for work permits for any additional expatriate staff.

 

License Renewal

You are required to renew your investment license at least 3 months before it expires, providing an abridged report for the project’s progress to date, as well as your project plan for the next two years. At this stage, you will also be subject to an inspection of your project site by ZIDA during which a brief interview will be conducted to assess your business’ progress.
